Welcome to mdm8.ai ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the mdm8.ai website, software platform, AI communication systems, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract.

If you use the Services on behalf of a medical practice, clinic, or healthcare organization ("Client"), you represent that you have authority to bind that entity to these Terms.


2. Description of Services

mdm8.ai provides AI-powered automation tools designed for medical practices, including but not limited to:

AI receptionist and voice automation SMS/text messaging automation Appointment scheduling and confirmations Reminders and follow-ups Patient intake automation Reputation and review automation Workflow optimization and analytics

We reserve the right to modify, suspend, or discontinue any part of the Services at any time.
 

3. No Medical Advice

The Services are administrative and operational tools only.

mdm8.ai does not provide medical advice, diagnosis, or treatment. All clinical decisions remain solely the responsibility of licensed healthcare professionals.


4. HIPAA & Data Protection

Where applicable, mdm8.ai will enter into a Business Associate Agreement (BAA) with Covered Entities as defined under HIPAA.

Clients agree to:

Provide only data they are authorized to share. Maintain appropriate administrative, physical, and technical safeguards. Notify mdm8.ai immediately of any suspected breach involving the Services.

While we implement reasonable industry-standard security measures, no system is completely secure. We do not guarantee absolute security.


5. Communications, SMS & Automated Call Consent

A. SMS Terms & Conditions

Program Name: MdM8.ai Appointment Messaging

Program Description: MdM8.ai is a healthcare automation platform that sends transactional SMS text messages triggered by appointment events. Messages are sent to both patients and healthcare providers and include appointment confirmations, appointment reminders, scheduling updates, and related transactional notifications. All messages are triggered by a specific appointment action (such as a new booking, a reschedule, or an upcoming appointment) and are never sent at random or for marketing purposes.

Message Frequency: Message frequency varies depending on appointment activity (typically 1–3 messages per appointment). Message and data rates may apply. Contact your mobile carrier for details about your messaging plan.

How Patients Opt In: Patients provide consent to receive appointment-related SMS messages directly to their healthcare provider during appointment scheduling, patient intake, or registration. The healthcare provider presents a consent disclosure and obtains the patient's agreement before collecting their mobile phone number for SMS communications. Healthcare providers using the MdM8 platform are required to obtain and document patient consent prior to sending any SMS messages.

Consent disclosure presented to patients: "By providing your mobile number, you agree to receive appointment reminders and scheduling messages from [Practice Name] via MdM8.ai. Message frequency varies (1–3 messages per appointment). Message and data rates may apply. Reply STOP to opt out. Reply HELP for help. Consent is not a condition of receiving medical services."

How Healthcare Providers Opt In: Healthcare providers consent to receive platform notifications related to their appointments and practice operations when they register for the MdM8 platform and agree to these Terms and Conditions. Provider notifications are triggered by appointment events and are limited to scheduling confirmations, updates, and operational alerts.

Opt-Out: You can opt out at any time by replying STOP to any message. You may receive a final confirmation message after opting out. You may also contact your healthcare provider directly (for patients) or contact MdM8.ai directly (for providers) to be removed from SMS communications.

Consent Not Required: Consent to receive text messages is not a condition of purchasing any goods or services or receiving medical treatment.

Carrier Disclaimer: Mobile carriers are not liable for delayed or undelivered messages.

Privacy: Mobile opt-in data and consent information are not shared with third parties or affiliates for marketing or promotional purposes. For information on how we collect, use, and protect your personal information, please review our Privacy Policy at https://www.mdm8.ai/privacy-policy.

B. General Consent to Communications

By using the Services and/or providing a phone number through a Client using mdm8.ai, you expressly consent to receive:

SMS/text messages Artificial or prerecorded voice calls Automated appointment reminders Confirmations and follow-ups Account and service notifications

These communications may be sent using automated technology, including artificial intelligence systems.

C. Opt-Out Instructions

You may opt out of SMS communications at any time by:

Replying STOP to any message Following instructions provided in the communication Contacting the medical practice directly (for patients) Contacting MdM8.ai directly (for providers)

You may receive a final confirmation message after opting out.

D. TCPA & Legal Compliance

Clients (medical practices) are solely responsible for:

Obtaining proper patient consent before initiating SMS or automated calls. Complying with the Telephone Consumer Protection Act (TCPA) and all applicable federal and state communication laws. Honoring opt-out requests promptly.

mdm8.ai acts solely as a technology platform provider and does not independently initiate patient or provider communications except as triggered by appointment events within the platform.

E. Emergency Disclaimer

The Services are not intended for emergency medical communications. Patients experiencing a medical emergency should dial 911 or contact emergency services immediately.


6. User Responsibilities

You agree not to:

Use the Services for unlawful purposes. Upload false, misleading, or unauthorized patient data. Violate healthcare privacy laws. Reverse engineer, copy, or exploit the platform. Interfere with system security or performance.

You are responsible for safeguarding your login credentials.

7. Subscription, Fees & Payment

Services may be provided under subscription-based pricing. Fees are due according to agreed billing terms. Payments are non-refundable unless otherwise specified in writing. We may suspend or terminate Services for non-payment.


8. Intellectual Property

All software, AI systems, content, branding, and technology remain the exclusive property of mdm8.ai.

You are granted a limited, non-exclusive, non-transferable license to use the Services for internal business operations only.


9. Service Availability

We aim for high reliability but do not guarantee uninterrupted or error-free operation.

We are not liable for delays or failures caused by:

Telecommunications outages Third-party service providers Force majeure events Internet disruptions


10. Limitation of Liability

To the maximum extent permitted by law:

mdm8.ai is not liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the amount paid by the Client in the twelve (12) months preceding the claim.


11. Indemnification

You agree to indemnify and hold harmless mdm8.ai and its affiliates from any claims arising out of:

Your misuse of the Services Violation of healthcare, privacy, or communication laws Failure to obtain proper patient consent Breach of these Terms


12. Confidentiality

Both parties agree to maintain confidentiality of non-public business, patient, and proprietary information and not disclose it except as required by law.


13. Third-Party Integrations

The Services may integrate with third-party systems (e.g., EHR platforms, payment processors, telephony providers).

mdm8.ai is not responsible for third-party services or their security practices.


14. Termination

We may suspend or terminate your access if:

You violate these Terms Required by law Non-payment occurs

Upon termination, your right to use the Services immediately ceases.


15. Governing Law

These Terms shall be governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

16. Modifications to Terms

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the revised Terms.
